Terms & Conditions

STANDARD TERMS AND CONDITIONS

  • Our quotations are valid for a period of 30 (thirty) days and are only subject to an increase in the event of an increase in suppliers prices or other circumstances beyond the control of Pactech.
  • Ownership of goods supplied/installed shall not pass to the customer until same have been paid for in full, but shall be retained by Pactech. Notwithstanding the above, risk of the goods shall pass to the customer upon possession.
  • All Initial License Fees are payable upfront in full within 30 days of the signing of End User Licence Agreements.
  • Annual Licence Fees are payable for the first year upfront as per the commercial terms and thereafter annually upon the anniversary date and as defined in the End User Licence Agreement. The Annual Licence Fee is calculated at a rate of 22% of the overall installed licensed solution.
  • Prices quoted may be adjusted based on the site audit and configuration verification process. This will be subject to a change request process and acceptance by the customer.
  • Any agreed budget is necessarily based on the assumption that the information required in order to render our services is made available in accordance with agreed timetables, is complete and accurate and that the customers’ key stakeholders are available.
  • If delays or other unanticipated problems which are beyond the control of Pactech occur, this may result in additional fees for which a change request will be raised for additional payment accordingly.
  • All completed jobs/projects must be signed-off by an authorised customer representative on an official Pactech Job Card Form.
  • Pactech reserves the right to charge interest on any amounts not paid for in full on the due date at a rate of 5% above the prime rate charged by the commercial banks.
  • All prices/rates exclude VAT.
  • Any additional agreed Labour, Travel and Accommodation will be subject to a change request and a separate quotation.
  • Any work conducted after hours, on Saturdays, Sundays or Public Holidays will be charged in terms of the applicable legislation.
  • SLA charges will be payable in terms of agreed maintenance and support services to be rendered for hardware and or software support. In absence of any SLA agreement, Pactech’s standard ruling times and material billing rates will apply and a purchase order will be required prior to any support engagement.
  • Any required support work post-commissioning must be logged at info@pactech.co.za / 021 762 5694. Any support required that is not logged via this process e.g. telephonic/e-mail will not be deemed a support request and will not be responded to by Pactech.
  • All Annual License Fees (ALF’s) and Service Level Agreement (SLA) Fees will increase by average CPI on the anniversary date of the installation and or contract.
  • All applicable Annual License Fees are payable annually in advance.
  • All services required or goods ordered by the customer shall be prepared on an official Purchase Order form and sent by email to info@pactech.co.za. On receipt of such Purchase Order form by Pactech, such order shall be binding on the Client.
  • The customer agrees that in the event of any portion of an invoice of indebtedness being disputed, the customer undertakes to forthwith pay the undisputed amount of such indebtedness accordingly and in terms of the requirements of this agreement.
  • Should Pactech be compelled to take legal action for the recovery of any outstanding monies, then the customer shall be liable for all legal costs incurred by Pactech.
  • Pactech warranties their workmanship (unless otherwise stated) for a period of 1 (one) year from date of installation for new installations and 3 (three) months for repairs, however, reserve the right to charge related labour, travel and accommodation charges associated with the replacement of any equipment covered under the manufacturer’s warranty. This warranty shall automatically lapse should any unauthorised work or tampering occur in respect of the equipment. No warranty will be honoured unless all amounts owing are paid in full.
  • While every reasonable attempt will be made to install equipment and configure the software to specification, the customer specifically indemnifies Pactech against any claim of whatsoever nature and howsoever arising from usage in respect of the equipment, software and the installation and configuration thereof, as well as against any act of any employee or sub-contractor of Pactech whether such act is negligent or otherwise.
  • These terms and conditions, read together with the applicable quotation contained above, constitute the entire agreement between the parties and variation thereof shall be of no force and effect unless reduced to writing and signed by both parties.
  • The customer acknowledges that no representations or warranties have been made by Pactech other than those recorded above.
